SWEEPSTAKES TERMS

1. ELIGIBILITY: Gud Vibrations Sweepstakes (the 'Sweepstakes') is open to legal residents of the fifty (50) United States and the District of Columbia who are over the age of 18 that have access to the Internet at all times during the Sweepstakes and prize-award period unless otherwise specified by Gud Vibrations (the 'Sponsor'). Non-US residents over the age of 18 may enter unless expressly prohibited by local regulations and law. All employees of Gud Vibrations, all associated agencies and each of their sales representatives, distributors, or agents (all of the foregoing, together with Sponsor, collectively referred to as 'Sweepstakes Entities'), and their immediate family members (spouse, parent, child, sibling and their respective spouses) and those living in the same household of each (whether related or not), are ineligible to participate in the Sweepstakes. All applicable federal, state and local laws and regulations apply. Void where prohibited or restricted by law. Entry in the Sweepstakes constitutes your full and unconditional acceptance of these Official Terms. No purchase necessary - a purchase will not improve your chances of winning.

2. SWEEPSTAKES PERIOD: The Sweepstakes entry period begins at July 10, 2019 3:00PM (EDT) and ends at July 12, 2019 3:00PM (EDT) (the "Sweepstakes Period"). Winners will be selected from entries properly submitted and timely received during the Sweepstakes Period.

3. SWEEPSTAKES ENTRY INSTRUCTIONS: During the Sweepstakes Period, you may submit an entry form online. Limit One (1) Online Entry per person, per e-mail address, and per household during the Sweepstakes Period via Online Entry, regardless of whether a person has more than one address/email address or more than one person uses the same address/email address.

4. PUBLICITY: As a condition of entry into the Sweepstakes, except where prohibited by law, each entrant and each winner by accepting a prize grants to Sponsor and its affiliates, legal representatives, assigns and licensees, all right, title and interest in to publicize, broadcast, display and/or otherwise use the Sweepstakes entrant's name, city, state, and biographical material (collectively, 'Licensed Rights') in any media now or hereafter known throughout the world in perpetuity for advertising and publicity purposes, without additional review, compensation, permission or approval of the winner. Where necessary, the Prize winner will be required to execute and return an Affidavit of Eligibility/Liability and Publicity Release within twenty four (24) hours of attempted notification or the winner may be disqualified and an alternate winner selected. Prize winner must be available for promotional display and presentation between July 12, 2019 3:00PM (EDT) to July 13, 2019 3:00PM (EDT) or will forfeit prize to next winning entrant.

5. SELECTION OF SWEEPSTAKES WINNERS/ODDS: The potential Prize winners will be selected in a random drawing to be held after July 12, 2019 3:00PM (EDT). Winners will be selected from entries received during the Sweepstakes Period. Odds of winning will depend on the number of eligible entries received during the Sweepstakes Period. The potential winners will be notified via email to the email address submitted with the potential winner's entry within twenty four (24) hours after the drawing. The drawing will be conducted by Sponsor, the judge of the Sweepstakes, whose decisions on all matters relating to the Sweepstakes shall be final and binding. In the event that a potential winner is disqualified for any reason, Sponsor may, in its sole discretion, award the applicable prize to an alternate winner selected at random. Any return of prize notification or prize email as undeliverable will result in forfeiture of any prize and an alternate winner may, at Sponsor's discretion, be randomly selected.

6. PRIZES: The winners will be awarded Enter to win 2 GA passes to Lost Lands 2019 in Legend Valley, OH from September 27 - September 29.. Prize will be delivered after July 12, 2019 3:00PM (EDT). The Prize will be delivered to the winning entrant's address or, at the sole option and discretion of the sweepstakes Sponsor, to a recipient designated by the sweepstakes winner. Prizes are not transferable and are not redeemable for cash. All taxes and other charges are responsibility of the winner. No substitutions allowed. All expenses not specifically mentioned herein are not included as part of any Prize package, and are solely the winner's responsibility.

7. ALTERNATIVE MEANS OF ENTRY: You may also enter the Sweepstakes by mailing a standard-size postcard with your first name, last name and email address to: TicketLabs Inc., 151 Charles Street West, Suite 100, Kitchener, ON, N2G 1H6, Canada. Postcard entries must be postmarked during the Sweepstakes Period to be included within the random drawing, and no more than one postcard/email address may be submitted during the Sweepstakes Period.

8. GENERAL TERMS: By entering or participating in the Sweepstakes, participants agree to be bound by these Official Terms, and by the decisions of Sponsor, which are final and binding in all respects. Sweepstakes Entities are not responsible for: (1) any incorrect or inaccurate information or technical failures of any kind, (2) unauthorized human intervention in any part of the entry process or the Sweepstakes; or (3) any other computer, network, technical, human or other error, problem or malfunction that may occur in connection with the administration of the Sweepstakes, the processing of entries, or the selection or notification of winners. Further, if, for any reason, the Sweepstakes is not capable of running as planned for reasons outside the control of the Sponsor which, in the sole opinion of Sponsor, may corrupt or affect the administration, security, fairness, integrity or proper conduct of the Sweepstakes (or portion thereof), Sponsor reserves the right, at its sole discretion, to cancel, terminate, modify or suspend the Sweepstakes (or portion thereof). Sponsor also reserves the right at its sole discretion to disqualify the Entry of any individual found to be (a) tampering or attempting to tamper with the entry process or the operation of the Sweepstakes or any website operated by the Sweepstakes Entities; (b) using any robotic, macro, automatic, programmed or like entry methods, which will void all such entries; (c) violating these Official Terms or the terms of service, conditions of use, and/or general terms of any Sponsor property or service; or (d) acting in an unsportsmanlike or disruptive manner, or with intent to annoy, abuse, threaten, or harass any other person. Sweepstakes Entities are not responsible for claims, injuries, losses or damages of any kind resulting, in whole or in part, directly or indirectly, from the awarding, delivery, acceptance, use, misuse, possession, loss or misdirection of the prize; participation in this Sweepstakes or in any activity or travel related thereto or from any interaction with, or downloading of, computer Sweepstakes information.

9. PARTICIPANT OBLIGATIONS: By participating in the Sweepstakes, you agree to be bound by these Official Terms and the decisions of Sponsor. By accepting the prize, the winner agrees to release and hold Gud Vibrations and affiliates harmless from and against any and all losses, damages, rights, claims, actions and liabilities of any kind in connection with the Sweepstakes or receipt or redemption of the prize. The winner assumes all liability for any injury, death, or damage caused, or allegedly caused, by participating in the Sweepstakes or use or redemption of the prize.

10. PERSONAL INFORMATION: The personal information collected through the Sweepstakes is subject to TicketLabs Inc.'s Privacy Policy, located at https://app.hive.co/privacy/. By entering the Sweepstakes, you agree to the use of your personal information as described in the above Privacy Policy.

1. No purchase is necessary to enter or win this sweepstakes. A purchase will not increase your chances at winning.

Eligibility: Four (4) Tickets PLUS a Meet & Greet with NGHTMRE & SLANDER Sweepstakes (the “Sweepstakes”) is open to legal residents that are eighteen (18) or older, as of the date of entry, who have an active email account and Internet access as of the beginning of the Sweepstakes period. Employees of Sponsor and their respective parent companies, affiliates, subsidiaries, advertising, promotion, fulfillment or other coordinating agencies, individuals providing services to Sponsor through an outsourcer or temporary employment agency during the Sweepstakes period, and their respective immediate family members and persons living in their same household, are not eligible to participate in the Sweepstakes. Participation in the Sweepstakes constitutes entrant’s full and unconditional agreement to and acceptance of these Official Rules & Regulations (“Official Rules”). No travel or accommodations to be provided. Winner is obligated to ensure that guest is also eighteen (18) or older, as of date of entry.

2. To Enter: You may enter the Sweepstakes online by: Select the Sweepstakes link from Sponsor’s Hive page, available at https://app.hive.co/l/xwbrr between Wednesday, May 1, 2019 at 3:00 PM MT, and Friday, May 3, 2019 at 3:00 PM MT. Fill out the entry form in its entirety, follow the directions for submitting and click on the button to submit the form. No mechanically reproduced mail-in entries are allowed and any use of robotic, automatic, programmed or the like entry methods will void all such entries by such methods. Only one entry per person, household and/or e-mail address is permitted, regardless of method of entry. Entrants submitting multiple entries or violating any of these Official Rules may be disqualified.

3. Prize Drawing and Conditions: All Sweepstakes entries meeting the requirements of these Official Rules will be entered into the prize drawing. The drawing will be conducted either by independent persons or a computer program that randomly chooses the winner from all eligible entries received and the random selection is final and binding. The winner(s) will be selected at random from among all eligible entries received.

4. Prizes: There will be one Grand Prize awarded. Prize consists of two (4) GA tickets and (4) M&G passes to Gud Vibrations at Red Rocks on May 5, 2019. No cash or other substitution of prizes is permitted. Anything not explicitly listed above, is not provided. Does not include food or beverage. The Grand Prize consists solely of Sponsors for a prize of equal or greater value. Sponsor will not replace any lost or stolen prizes. Winner is solely responsible for any and all federal, state, provincial and local taxes, if any, that apply to prizes.

5. Odds: The odds of winning a prize depend on the total number of eligible entries received.

6. Notification of Winners: Winners will be notified by email by the Sponsor within twenty-four (24) hours of the prize drawing, and may be required to sign and return an affidavit of eligibility and publicity/liability release within [seven (7)] days of notification. If a selected winner cannot be contacted, is ineligible, fails to claim a prize and/or where applicable an affidavit of eligibility and publicity/liability release is not timely received, is incomplete or modified, the prize may be forfeited and an alternate winner selected from remaining valid, eligible entries timely submitted. In the event of a dispute regarding who submitted an entry, the entry will be deemed submitted by the authorized account holder of the email account specified in the entry. "Authorized account holder" is defined as the natural person who is assigned to an email address by an Internet access provider, online service provider, or other organization (e.g., business, educational institution, etc.) that is responsible for assigning email addresses for the domain associated with the submitted e-mail address. No automatically generated entries will be accepted.

7. General Rules: By entering the Sweepstakes, you agree to be bound by these Official Rules. The Sweepstakes is offered by Sponsor, which is not responsible for (i) late, lost, delayed, damaged, incomplete, illegible, misdirected or undeliverable entries, responses, or other correspondence, whether by e-mail or otherwise; (ii) theft, destruction, unauthorized access to or alterations of entry materials; or (iii) phone, electrical, network, computer, hardware, software program or transmission malfunctions, failures or difficulties.

8. Conduct of Participation: By entering the Sweepstakes and/or accepting the Prize, Winner and entrant hereby consent (except where prohibited by law) to the reasonable use by Sponsor, of the Winners’ and entrants’ name, age, photograph, voice, likeness and/or image, and hometown without any further compensation for any future promotional activity related to this Sweepstakes. Entrant affirms that he or she has read and agrees to abide by the Official Sweepstakes Rules and the decisions of the judge. Entrant further warrants and represents it is understood that Gud Vibrations is the sole sponsor of this event and that nothing contained herein shall imply that Performers, Event, Host, and or any other participants hold any responsibility whatsoever to perform any actions, offers or anything else listed within the Sweepstakes. You agree to release, indemnify, defend and hold Sponsors and its parent, affiliates, subsidiaries, directors, officers, employees, sponsors and agents, including advertising and promotion agencies, and assigns, and any other organizations related to the Sweepstakes, harmless, from any and all claims, injuries, damages, expenses or losses to person or property and/or liabilities of any nature that in any way arise from participation in this Sweepstakes or acceptance or use of a prize or parts thereof, including, without limitation, (i) any condition caused by events beyond Sponsor’s control that may cause the Sweepstakes to be disrupted or corrupted; (ii) any injuries, losses, or damages (compensatory, direct, incidental, consequential or otherwise) of any kind arising in connection with or as a result of the prize, or acceptance, possession, or use of the prize, or from participation in the Sweepstakes; and (iii) any printing or typographical errors in any materials associated with the Sweepstakes. Sponsor’s decisions in all respects relative to the Sweepstakes are final.

9. Release of Liability: To the maximum extent permitted by law, Sponsor, Performers and their respective affiliated entities, and their respective shareholders, officers, directors, members, managers, employees, agents, attorneys, successors and assigns (the “Released Parties”) shall not be held liable or responsible for, and each entrant (including prize winners) hereby release the Released Parties from, any claims arising from or in any way relating to the Sweepstakes, including, but not limited to, the following: (i) the subject matter of the Sweepstakes; (ii) any inability to submit a Sweepstakes entry; (iii) any defects or deficiencies in a Sweepstakes entry; (iii) the content or context of any Sweepstakes entry; (iv) technical failures of any kind, including but not limited to the malfunctioning of any computer, cable, network, hardware or software; (v) the unavailability or inaccessibility of any transmissions or telephone or Internet service; (vi) unauthorized human intervention in any part of the entry process or the Sweepstakes; (vii) electronic or human error which may occur in the administration of the Sweepstakes or the processing of entries; (viii) any injury or damage to persons or property, including but not limited to entrant's computer, hardware or software, which may be caused, directly or indirectly, in whole or in part, from entrant's participation in the Sweepstakes; (ix) use or redemption of any prize; (x) the judging process, including the outcome of the Sweepstakes; (xi) the inability to redeem or use any prize, including, without limitation, due to Force Majeure (defined below); (xii) any other claims, damages or liability to any injuries, damages or losses (whether alleged, threatened, or actual) to any person (including death) or property of any kind resulting in whole or in part, directly or indirectly, from acceptance, possession, misuse or use of any prize or participation in any Sweepstakes-related activity or participation in this Sweepstakes. All entrants and Prize Winner(s) further warrant and represent that Prize Winner clearly understands that Prize Winner shall be solely responsible for all activities of Prize Winner and all such activities shall no association with Sweepstakes or Grand Prize and it shall in no way be be construed Prize Winners’ presence at this and/or any other event is at the encouragement of Sponsor.

WITHOUT LIMITING THE FOREGOING, THIS SWEEPSTAKES AND ALL PRIZES ARE PROVIDED "AS IS" WITHOUT WARRANTY OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO, THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE OR NON-INFRINGEMENT, AND SPONSOR HEREBY DISCLAIMS ANY SUCH WARRANTIES. In some jurisdictions do not allow the limitation or exclusion of liability for incidental or consequential damages, so the above limitation or exclusion may not apply to you.

10. Disqualification/Force Majeure: Sponsor reserves the right in its sole discretion to disqualify any individual who is found to have tampered with the entry process or the operation of the Sweepstakes, to be acting in violation of these Official Rules, or to be acting in a disruptive manner, or with the intent to disrupt or undermine the legitimate operation of the Sweepstakes, or to disparage, annoy, abuse, threaten or harass any other person, and Sweepstakes reserves the right to seek damages and other remedies from any such person to the fullest extent permitted by law. No incomplete, forged, software-generated or other automated multiple entries will be accepted. The invalidity or unenforceability of any provision of these rules shall not affect the validity or enforceability of any other provision. In the event that any provision is determined to be invalid or otherwise unenforceable or illegal, these rules shall otherwise remain in effect and shall be construed in accordance with their terms as if the invalid or illegal provision were not contained herein. In the event an insufficient number of eligible entries are received and/or Sponsor is prevented from awarding the prize or continuing with the Sweepstakes as contemplated herein by any event beyond its control, including but not limited to, event cancellation or modification, fire, flood, natural or man-made epidemic of health of other means, earthquake, explosion, labor dispute or strike, act of God or public enemy, satellite or equipment failure, riot or civil disturbance, terrorist threat or activity, war (declared or undeclared) or any federal state or local government law, order, or regulation, public health crisis, order of any court or jurisdiction, or other cause not reasonably within Sponsor’s control (each a “Force Majeure” event or occurrence), then Sponsor shall have the right to modify, suspend, or terminate the Sweepstakes. If the Sweepstakes is terminated due to Force Majeure relating to the Prize, Sponsor will (if possible) conduct the drawing with all timely entries, awarding prizes other than the Grand Prize. Inclusion in such drawing shall be each Entrant’s sole and exclusive remedy under such circumstances. Only the type and quantity of prize described in these Official Rules (other than the Grand Prize) will be awarded in such event.

11. Additional Conditions: Except where prohibited, by participating in the Sweepstakes and/or winning any prize, winner consents to the use of his/her name, photo and/or likeness, biographical information, entry and statements attributed to winner for advertising and promotional purposes, including without limitation, inclusion in Sponsor’s newsletters and the Sweepstakes website at https://app.hive.co/l/xwbrr without additional compensation. All entries become property of Sponsor and none will be acknowledged or returned. Sponsor reserves the right, in its sole discretion, to cancel, modify or suspend the Sweepstakes in whole or in part, in Sponsors sole discretion, without liability to the entrant. Sponsor reserves the right to disqualify any entrant or winner, as determined by Sponsor, in its sole discretion. The Sweepstakes are subject to these Official Rules and all applicable federal, state, provincial and local laws and regulations apply. As stated above, the Sweepstakes is void where prohibited or restricted by law. By participating in these Sweepstakes, you acknowledge that you have read these official Rules and agree to abide by them and by the decisions of Sponsor, which are final and binding on all matters pertaining to the Sweepstakes. These Official Rules are governed by the law of the State of California, excluding rules governing choice of laws.

Any action, suit or case arising out of, or in connection with, this Sweepstakes or these Official Rules must be brought in either the federal courts located in the Southern district of California or the state courts located in Los Angeles County, California.

Sponsor may collect personal data about entrants online, in accordance with its privacy policy and as may be more specifically set forth in these Official Rules. Please review these Official Rules and Sponsor’s privacy policy. By participating in the Sweepstakes, entrants hereby agree to Sponsor’s collection and use of their personal information and acknowledge that they have read and accepted these Official Rules and Sponsor’s privacy policy.
